Terms of Use

1. About these Terms
These Terms govern access to and use of the Agrarius Portal at portal.agrarius.co.za (the “Portal”) and Agrarius website at www.agrarius.co.za (the “Sites”).
The Portal is operated by 27four Investment Managers (Pty) Ltd, acting through its agricultural investment division, Agrarius ("Agrarius", "we", "us" or "our"). See the section “Contact us” for full contact details.
The Sites include:
- public pages through which prospective clients may submit funding applications or enquiries;
- pages through which prospective investors may express an interest in Agrarius investment opportunities; and
- a restricted client area through which authorised clients and their representatives may access and submit information relating to existing financing arrangements.
By submitting information to us and signing in to the restricted client sites, you acknowledge and agree to these Terms.
2. Finance Documents
Where you or the organisation you represent has an existing financing relationship with Agrarius, Agrarius Agri Value Chain RF (Pty) Ltd, or another relevant financing entity, that relationship remains governed by the applicable loan agreement, facility agreement, security documents and other transaction documents ("Finance Documents").
These Terms govern use of the Sites and do not replace or amend the Finance Documents.
If there is any inconsistency between information displayed on the Sites and the Finance Documents, the Finance Documents prevail in relation to the relevant financing arrangement.
The collection, use and disclosure of client information, including any rights relating to aggregated or de-identified information, remain subject to the applicable Finance Documents, other agreements with the relevant client and applicable law.
3. Access to the restricted Portal
Access to the restricted client portal is limited to authorised users.
You must:
- use the Portal only for legitimate business purposes;
- keep your account and authentication methods secure;
- not permit another person to use your account;
- ensure that your account information remains accurate;
- notify us promptly of suspected unauthorised access; and
- access only information and functionality for which you are authorised.
Where a client is able to nominate or manage users, that client is responsible for ensuring that its users remain appropriately authorised.
We may suspend or terminate access where reasonably necessary for security, legal, regulatory, operational or access-control purposes.
4. Funding applications and enquiries
Prospective clients may use the Sites to submit information about themselves, their businesses and their funding requirements.
Information submitted must, to the best of the applicant's knowledge, be accurate and not misleading.
A person submitting information on behalf of another person or organisation confirms that they are authorised to do so.
Agrarius may use information submitted through an application or enquiry to:
- assess and respond to the application;
- assess the relevant business, transaction and credit risk;
- perform appropriate analysis and due diligence;
- communicate with the applicant and its representatives;
- determine whether the proposed transaction falls within our investment or lending mandate; and
- carry out the other activities described in our Privacy Notice.
Submission of a funding application does not constitute an offer, approval or commitment to provide funding.
5. Prospective investor enquiries
Prospective investors may use the Sites to express an interest in Agrarius funds or investment opportunities.
Submitting an enquiry does not constitute an application for, or acceptance into, any investment product and does not oblige Agrarius to offer an investment opportunity.
Where you ask us to contact you about a fund or investment opportunity, we may use the information provided to respond to that enquiry.
Future marketing communications concerning other funds or investment opportunities will be handled in accordance with our Privacy Notice and applicable law.
6. Client information and submissions
The restricted Portal may allow authorised users to submit information including:
- financial statements, management accounts, budgets and forecasts;
- covenant and compliance information;
- agricultural, production, harvest and operational information;
- information relating to facilities, assets, security and counterparties;
- supporting documents; and
- other information required under the applicable Finance Documents.
The relevant client remains responsible for taking reasonable steps to ensure that information submitted on its behalf is complete and accurate.
Submitting information through the Portal does not replace any reporting or information obligation contained in the Finance Documents unless expressly agreed otherwise.
7. Use of information
Information submitted through or made available to the Sites may be used for purposes connected with the relevant application, financing, investment or client relationship, including:
- considering funding applications;
- administering Finance Documents and facilities;
- financial, covenant and operational monitoring;
- agricultural, production and harvest monitoring;
- credit, investment and portfolio monitoring;
- analysing financial and operational performance;
- calculating balances, payments and other facility information;
- risk management;
- internal reporting, forecasting and analysis;
- compliance, audit and regulatory purposes; and
- exercising rights under applicable Finance Documents.
We may combine information submitted through the Sites with information held in our accounting, portfolio-management, data-warehouse and other systems.
Where permitted under applicable agreements and law, aggregated or appropriately de-identified information may also be used for statistical analysis, research, benchmarking, model development, product development and similar purposes.
8. Calculations and monitoring
The restricted Portal may display or calculate information such as:
- balances and payment information;
- financial metrics;
- covenant information;
- forecasts and projections;
- portfolio and counterparty information; and
- agricultural or operational metrics.
Automated calculations and analytical tools may assist our monitoring and analysis.
Decisions having material contractual, credit or enforcement consequences are made by authorised personnel and are not made solely through automated processing.
Unless the Finance Documents expressly provide otherwise, information, forecasts and calculations displayed through the Portal are for administrative and monitoring purposes and do not amend the Finance Documents.
9. Confidentiality and third parties
Information made available through the restricted Portal must be treated in accordance with applicable confidentiality obligations.
Where necessary for legitimate purposes connected with an application, investment or financing relationship, information may be made available within the 27four group or to contracted service providers, professional advisers, consultants and other persons engaged to assist with administration, analysis, monitoring, technology, audit or related functions.
Information may also be disclosed where required or permitted by law or applicable contractual arrangements.
Personal information is processed in accordance with our Privacy Notice.
10. Security and acceptable use
You may not:
- access or attempt to access another user's or client's information without authority;
- circumvent or interfere with security controls;
- probe or test the Portal for vulnerabilities without written permission;
- introduce malicious software or code;
- systematically extract Portal information without permission;
- interfere with the operation or availability of the Portal;
- impersonate another person; or
- use the Portal for an unlawful purpose.
11. Availability and third-party services
We aim to maintain a secure and reliable Portal but do not guarantee uninterrupted or error-free availability.
We may maintain, modify, upgrade, restrict or temporarily suspend functionality where reasonably necessary for operational, security, legal or regulatory purposes.
The Portal may rely on third-party technology services for functions such as authentication, security, electronic signing, cloud infrastructure and analytics.
12. Intellectual property
Agrarius and its licensors retain their rights in the Sites, its software, design, methodologies, functionality and associated intellectual property.
Clients and applicants retain any rights they may have in information they provide, subject to rights granted under applicable agreements and law.
Submitting information through the Sites does not by itself transfer ownership of the underlying information to Agrarius, unless it is otherwise contractually granted to Agrarius.
13. Changes to these Terms
We may amend these Terms from time to time to reflect changes to the Sites, applicable law, security requirements or our services.
The current version will be made available through the Sites.
Where updated Terms require acceptance, we may require a user to accept the updated version before continuing to use the restricted Portal.
We may retain an electronic record of the version accepted and the date and time of acceptance.
14. Privacy and cookies
Our Privacy Notice explains how we process personal information.
Our Cookie and Similar Technologies Notice explains how the Portal uses cookies, analytics and similar technologies.
By signing in to the restricted Portal, you acknowledge and agree to these Terms and acknowledge the Privacy Notice and Cookie and Similar Technologies Notice made available to you.
15. Governing law
These Terms are in all respects governed by the laws of the Republic of South Africa.
Any rights or dispute-resolution provisions contained in applicable Finance Documents continue to govern the relevant financing relationship.
